A Certification of Completion is a crucial legal and financial document in the lifecycle of a film’s production. It serves as official proof that the film has been fully completed and delivered in accordance with the terms laid out in various agreements, most notably with financiers, distributors, and completion bond companies. This is not a creative document but a formal declaration that all required production and post-production work has concluded and all physical and digital assets, known as ‘delivery items,’ have been handed over.
For a film’s investors, the Certificate of Completion is the trigger that often finalizes their financial arrangements. It confirms that their investment has resulted in a finished product, allowing for the release of final payments to the production company. For a distributor, it certifies that they have received all the materials necessary to release the film, such as the final master file (DCP), audio stems, marketing materials, and legal clearances. The certificate is typically issued by a representative of the production company and must be signed off on by the beneficiaries of the delivery, such as the distributor or the completion bond guarantor.
The Role of the Completion Bond
The Certification of Completion is particularly vital in the context of a completion bond (or completion guarantee). A completion bond is a form of insurance purchased by film producers to guarantee to their financiers that the film will be completed and delivered on time and on budget. If the production runs into trouble (e.g., goes over budget or falls behind schedule), the bond company has the right to step in, take over the production, and ensure it gets finished.
Once the film is done, the bond company’s primary goal is to be released from its liability. The Certification of Completion, when signed by the film’s financiers and distributors, serves as the legal instrument that achieves this. It is a formal acknowledgment from all key stakeholders that the production company (and by extension, the bond company) has fulfilled its obligation to deliver a finished film. Without this certificate, the bond company remains ‘on the hook,’ and the final financial pieces of the production puzzle cannot fall into place. It is, in essence, the final handshake that formally concludes the production phase of a film.
