Back-End Deal

An agreement granting participants a share of profits after initial investors are repaid


Overview

Back-end deals, also called “deferred compensation,” allow talent or financiers to receive payment contingent on a film’s profitability. Participants often accept reduced upfront fees in exchange for a percentage of back-end earnings, aligning incentives with a project’s success.

Structure and Waterfall

The back-end waterfall prioritizes repayment: first recoup production investors, then cover P&A costs, next distribute agreed gross or net points, and finally allocate back-end percentages. Detailed contracts specify triggers and audit rights.

Risks and Rewards

While back-end deals can yield substantial payouts on blockbusters, participants risk receiving little or nothing if the film underperforms. Clear thresholds and negotiated floors (minimum guarantees) mitigate downside exposure.
