A film tax credit certificate is an official document issued by a government body that verifies the amount of tax credit a production has earned, which can then be used to pay taxes or be sold for cash.


The Core Concept

A film tax credit certificate is the tangible, negotiable instrument that represents the monetary value of a film tax incentive. It’s not the incentive itself, but the official ‘coupon’ issued by a state’s film office or department of revenue after a production has completed filming and passed a rigorous audit. This certificate is the key that unlocks the financial benefit of the tax credit program, transforming a theoretical credit into a usable asset.

The Process: From Audit to Asset

Obtaining and using a tax credit certificate involves several key steps:

  1. Production and Spending: A film or television show shoots in a state with a tax credit program, spending millions of dollars on local labor and services (known as ‘qualified expenditures’).
  2. The Audit: After production wraps, the company must hire an independent auditor to conduct a thorough review of all its spending, proving exactly how much money was spent in-state and on what.
  3. Application and Issuance: The production submits this detailed audit to the state’s governing body. Once the state verifies the spending, it issues an official certificate for the corresponding credit amount (e.g., a 30% credit on $10 million of spending results in a $3 million certificate).
  4. Monetization: The production company now holds the certificate. It can either use it to pay its own state tax liabilities or, more commonly, sell it.

Role in the Film Industry

Because most production companies are temporary entities with little to no tax liability in the state where they film, the ability to sell the certificate is paramount. The production will sell its $3 million certificate to a tax credit broker or directly to a large, in-state corporation for a discounted price (e.g., 90-95 cents on the dollar). This transaction provides the film production with immediate, non-recoupable cash—effectively a rebate—while the corporation that buys the certificate gets to save money on its own tax bill. This liquidity is what makes tax credit programs so attractive and powerful.
