Mitch McDeere, portrayed by Tom Cruise, is on the brink of graduating from Harvard Law School when he accepts a lucrative job offer from the prestigious firm Bendini, Lambert & Locke in Memphis, Tennessee. As numerous firms compete for his attention, offering not just impressive salaries and benefits, but also enticing perks such as luxurious basketball game tickets, Mitch ultimately decides to join this boutique firm, lured by their generous proposal of a $96,000 salary—equivalent to around $150,000 in New York—along with a low-interest mortgage and a leased Mercedes.

Upon moving to Memphis with his wife, Abby, played by Jeanne Tripplehorn, Mitch immerses himself in learning the Tennessee bar exam. He forms a friendship with fellow associate Lamar Quinn, who shares unsettling insights into the firm’s culture, including their surprising policy of zero divorces and preference for employees with families. As Mitch settles into his work, he encounters the senior partner, Avery Tolar, portrayed by Gene Hackman, who becomes both a mentor and an influential figure in his life. Avery introduces Mitch to the firm’s demanding culture that emphasizes absolute loyalty, confidentiality, and a readiness to charge exorbitant fees.

Although seduced by the lifestyle the firm offers—such as a beautiful home, a brand-new vehicle, and the eradication of his student debt—Mitch begins to sense a creeping unease within the firm. The first significant alarm is triggered by the mysterious deaths of two associates in a boating accident off the coast of the Cayman Islands. While passing the bar exam and working extensive hours, Mitch’s relationship with Abby starts to deteriorate.

As Mitch delves deeper into the firm’s operations, he discovers that much of their business revolves around facilitating wealth for their affluent clients through suspicious offshore tax strategies. A shocking revelation occurs during a trip to the Cayman Islands when a client casually mentions the firm’s Chicago clients are involved in violent retribution against those who cross them. In a moment of weakness, Mitch succumbs to temptation and has an affair with a local woman, an incident orchestrated by the firm’s security chief, Bill DeVasher, who later uses this against him.

When FBI agents approach Mitch, they unveil the ominous truth: the firm is deeply entangled with the Morolto crime family, partaking in massive tax fraud and money laundering schemes. They reveal that previous associates who sought to exit the firm met untimely ends and that his own life may be in jeopardy. He is faced with a daunting choice: either collaborate with the FBI to expose the firm’s illegal activities or remain loyal and risk his safety at the potential cost of his life.

Mitch’s agreement to assist the FBI comes with a hefty price: $1.5 million and the release of his brother Ray from incarceration. Amidst the brewing turmoil, Mitch confesses his infidelity to Abby, who contemplates leaving him. Gleaning insight from a client’s billing complaints, Mitch recognizes that the firm’s practices might qualify as mail fraud, a revelation that presents him with a chance to regain control.

With the help of Tammy, an assistant to private investigator Eddie Lomax, he clandestinely copies the firm’s billing records. Complications arise, however, when Avery invites Abby to join him on a trip to the Caymans, disrupting Mitch’s plans. In a bold move, Abby decides to go to the Caymans herself, with intentions to seduce and incapacitate Avery to acquire critical files.

Their plan unravels when they learn that the firm is already onto their scheme. Tragedy strikes as Avery is killed by DeVasher’s men, making Mitch’s path forward perilous. However, as the stakes escalate, Mitch cleverly negotiates with the Moroltos, indicating that he intends to safeguard their interests while also ensuring the FBI gets the evidence they need to build their case against the firm.

In a final twist of loyalty and deception, Mitch successfully provides the FBI with the materials necessary to prosecute the firm’s senior members. In the end, he must confront the fallout of his decisions, whether in the scornful eyes of the FBI or among the murky waters of the criminal underworld. Ultimately, the McDeeres return to Boston, albeit in their old car, while Mitch’s brother Ray embarks on a new life in the Caymans, courtesy of the plans that Mitch had set in motion.
